Philip has over 30 years' experience advising senior management and in-house counsel on capital markets transactions, strategic, finance and business issues, public company governance and disclosure, corporate and securities law, broker-dealer compliance, and related matters. Philip is based primarily in New York, NY, USA, and regularly travels to Australia.
Philip has represented and advised global financial institutions, corporations, issuers, placement agents and underwriters in connection with a wide variety of capital markets transactions including domestic and international public offerings, private placements of debt and equity, IPOs, negotiated acquisitions, joint ventures, startups and derivative securities.
Formerly a partner of Chadbourne & Parke LLP, Special Counsel with Sullivan & Cromwell LLP and Associate with Skadden, Arps, Slate, Meagher & Flom in New York, and Associate with Freehills in Australia. For over thirty years in New York and Melbourne, Philip has represented prominent institutions and individuals.
His clients have included leading investment banks and underwriters such as The Goldman Sachs Group, Credit Suisse First Boston, Deutsche Bank Securities, Drexel Burnham Lambert, JP Morgan Securities, Morgan Stanley, National Australia Bank, Salomon Brothers, UBS AG and Wells Fargo Securities.
Leading corporates have included Droga5, American Express Company, Athene Global Funding, Beatrice Australia Limited, Caterpillar Financial Services Corporation, G.J. Coles & Coy Limited (Coles Myer), IDT Corporation, Kinross Gold Corporation, Mayne Nickless Limited, Navios Maritime Acquisition Corporation, Ormat Technologies, Pacific Dunlop Limited, Pitney Bowes, Six Flags Corporation, The New York Times Company, Unilever and Universal Foods Corporation, among others.
